The terms that apply to this website. Project work is governed by a separate agreement.
These Terms of Use govern your use of the simplify.ist website (the "Site"), operated by Simplify ("we", "us", "our"). By using the Site you agree to these terms. If you don't agree, please don't use the Site.
1. Informational purpose
The Site provides general information about our Shopify app development services. Nothing on it is a binding offer, a guarantee of results, or professional advice for your specific situation.
2. Enquiries are not contracts
Submitting the enquiry form, and any quote, estimate or indicative pricing we provide, does not create a contract. Any engagement begins only when both parties sign a separate written services agreement or accept a written proposal that sets out scope, fees, timelines, intellectual-property assignment and other terms.
3. Project terms & IP
For paid projects, the terms of that separate agreement prevail. As a general principle, intellectual property in the deliverables we create for you is assigned to you upon final payment, subject to the specific agreement. We may retain rights to general know-how, tools and reusable components that are not specific to your project.
4. Indicative pricing
Any prices shown on the Site (for example, "from" figures on the pricing page) are indicative starting points only, may change, and are not an offer. Your actual fee is set out in your proposal or agreement.
5. Intellectual property in the Site
The content, design, code and branding of this Site are owned by us or our licensors and are protected by law. You may view and share links to the Site, but you may not copy, reproduce or reuse its content without permission.
6. Acceptable use
You agree not to misuse the Site — including attempting to gain unauthorised access, interfering with its operation, submitting unlawful or abusive content through the form, or using it to send spam.
7. Third-party names & trademarks
"Shopify", "Shopify Plus", "Polaris", "Hydrogen" and related marks are trademarks of Shopify Inc. We are an independent studio that builds on the Shopify platform. We are not affiliated with, endorsed by, or sponsored by Shopify Inc. Other product names are the property of their respective owners.
8. No warranty
The Site is provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law. We don't warrant that the Site will be error-free or uninterrupted. Nothing in these terms excludes rights you may have under the Australian Consumer Law that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss arising from your use of the Site.
10. Governing law
These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
11. Changes
We may update these terms from time to time. Continued use of the Site means you accept the current version.
